Terms of Service
Important: Please read these Terms carefully before using EyeOnSite. By accessing or using our platform, you agree to be bound by these terms. If you do not agree, do not use the platform.
1. Introduction and Acceptance
These Terms of Service ("Terms") govern your access to and use of the EyeOnSite platform, including our mobile applications, website (eyeonsite.com), APIs, and all related services (collectively, the "Platform"), operated by Manti Labs LLC, a Delaware limited liability company ("Manti Labs," "we," "us," or "our").
By creating an account, accessing, or using the Platform in any way, you ("User," "you," or "your") agree to be bound by these Terms, our Privacy Policy, and any additional terms applicable to specific features or services. If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Definitions
- "Client" means a User who posts verification tasks and pays for inspection services through the Platform.
- "Inspector" means a User who has been verified and approved to perform inspection tasks through the Platform.
- "Task" means a discrete verification job posted by a Client, consisting of a location, instructions, checklist requirements, deadline, and budget.
- "Evidence Package" means the structured deliverable produced by an Inspector for a Task, including GPS-stamped photographs, video (where applicable), completed checklists, and inspector notes.
- "Escrow" means the mechanism by which Client funds are held by Manti Labs (through its payment processing partners) pending completion and acceptance of a Task.
- "Trust Score" means the composite reliability rating assigned to Inspectors based on task completion, evidence quality, client ratings, and dispute history.
- "Platform Fee" means the commission charged by Manti Labs on each completed Task, as set out in our pricing schedule.
3. Eligibility
To use the Platform, you must: be at least 18 years of age; have the legal capacity to enter into a binding agreement; provide accurate and complete registration information; not have been previously suspended or removed from the Platform; and comply with all applicable laws in your jurisdiction.
Inspectors must additionally complete our verification process, including identity verification, background screening (where available), platform training, and a test task, before being approved to accept Tasks.
4. User Accounts
4.1 Registration
You must create an account to use the Platform via phone number verification (OTP) or other authentication methods we support. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
4.2 Account Types
The Platform supports two primary account types: Client accounts (for posting and paying for Tasks) and Inspector accounts (for accepting and completing Tasks). You may hold only one account of each type.
4.3 Account Security
You must immediately notify us of any unauthorized use of your account. We are not liable for losses arising from unauthorized access where you have failed to maintain adequate security of your credentials.
5. Client Terms
5.1 Posting Tasks
Clients may post Tasks by specifying a physical location, inspection type, specific instructions, and a budget. By posting a Task, you represent that you have a legitimate interest in the verification requested and that the location is accessible for inspection.
5.2 Escrow and Payment
When you post a Task, the full budget amount is collected and held in escrow through our payment processing partners (Stripe for international payments; Flutterwave for local African payments). Funds are released to the Inspector only upon your acceptance of the Evidence Package or upon automatic acceptance after the 48-hour review period. The Task budget includes the Platform Fee (currently 18% for consumer tasks, 15% for enterprise subscriptions) and any applicable processing fees.
5.3 Evidence Review
Upon submission of an Evidence Package, you have 48 hours to review and either accept or dispute the evidence. If you take no action within 48 hours, the Evidence Package is automatically accepted and funds are released to the Inspector. You may request one revision before filing a dispute.
5.4 Disputes
If you believe an Evidence Package does not meet the Task requirements, you may file a dispute within the review period (or within 7 days of auto-acceptance for fraud claims only). Disputes are resolved through our three-tier resolution process: automated checks, platform mediation, and (where applicable) external arbitration. Our dispute resolution decisions are final and binding.
5.5 Refunds
Refunds are issued when: (a) no Inspector accepts your Task within the specified deadline; (b) a dispute is resolved in your favor; (c) an Inspector cancels after acceptance and no replacement is found; or (d) the Platform cancels the Task for any reason. Refunds are processed within 5–10 business days.
6. Inspector Terms
6.1 Independent Contractor Status
Inspectors are independent contractors, not employees, agents, or partners of Manti Labs. As an independent contractor, you control your own schedule, choose which Tasks to accept, use your own equipment, and are responsible for your own taxes, insurance, and business expenses. You are not entitled to employee benefits from Manti Labs.
6.2 Verification and Onboarding
To become an approved Inspector, you must provide a valid government-issued ID, complete platform training modules, pass a knowledge assessment, and complete a test Task to our quality standards. We reserve the right to deny or revoke Inspector status at our discretion.
6.3 Evidence Capture Requirements
All evidence must be captured using the EyeOnSite in-app camera. You may not upload photos from your device gallery, use pre-captured images, or submit evidence from a location other than the Task site. GPS location services must be enabled during evidence capture.
Falsifying evidence, spoofing GPS coordinates, or submitting fraudulent materials is a serious violation that will result in immediate account suspension and forfeiture of pending payouts.
6.4 Payment
Inspector payouts are calculated as the Task budget minus the Platform Fee and processing fees. Payouts are initiated upon Client acceptance (or auto-acceptance) of the Evidence Package, processed via mobile money (MTN MoMo, M-Pesa) or bank transfer through Flutterwave. Mobile money payouts are typically instant to 30 minutes; bank transfers take 1–3 business days.
6.5 Deactivation
We may suspend or permanently deactivate your Inspector account for: evidence fraud or fabrication; safety violations; repeated poor quality; failure to complete accepted Tasks; harassment or unprofessional conduct; or violation of these Terms. Immediate deactivation applies for fraud or safety violations.
7. Escrow and Financial Terms
Manti Labs facilitates payments between Clients and Inspectors through its payment processing partners. Manti Labs does not hold Client funds in a segregated escrow bank account; funds are held by Stripe and/or Flutterwave as payment processors and tracked through our internal ledger system.
Manti Labs is not a bank, financial institution, or licensed money transmitter. Payment processing services are provided by Stripe, Inc. and Flutterwave Technology Solutions Limited, each independently licensed and regulated in their operating jurisdictions.
8. Intellectual Property
8.1 Platform IP
The Platform, including its software, design, logos, trademarks, and content, is owned by Manti Labs and protected by applicable intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Platform.
8.2 User Content
By submitting content to the Platform, you grant Manti Labs a worldwide, non-exclusive, royalty-free, sublicensable license to use, display, reproduce, and distribute such content for the purpose of operating and improving the Platform. You retain ownership of your original content.
8.3 Evidence Data
Evidence Packages are owned by the Client who commissioned the Task. Manti Labs retains the right to use anonymized, aggregated evidence data for platform improvement, quality assurance, fraud detection, and (with Client consent) data products and analytics services.
9. Prohibited Conduct
You agree not to:
- Use the Platform for any unlawful purpose or in violation of any applicable law
- Submit false, misleading, or fraudulent information
- Fabricate, alter, or falsify evidence, GPS data, or inspection results
- Circumvent the Platform to arrange direct transactions with other Users
- Harass, threaten, or intimidate other Users or any third party encountered during Task completion
- Attempt to access another User's account or personal data
- Use automated bots or scrapers to access the Platform without authorization
- Interfere with or disrupt the Platform's infrastructure or security features
- Use the Platform to facilitate money laundering, terrorism financing, or other financial crimes
- Trespass on private property without proper authorization during Task completion
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- The Platform is provided "as is" and "as available" without warranties of any kind, express or implied.
- Manti Labs does not guarantee the accuracy, completeness, or reliability of Evidence Packages, Inspector assessments, or any information provided through the Platform.
- Manti Labs is not liable for the actions, omissions, or conduct of Inspectors or Clients, whether on or off the Platform.
- Manti Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.
- Manti Labs' total aggregate liability shall not exceed the total fees paid by you to Manti Labs in the twelve (12) months preceding the claim.
Evidence Packages are observational reports by independent contractors and do not constitute professional engineering assessments, legal surveys, structural evaluations, or property valuations. We strongly recommend engaging licensed professionals for formal assessments.
11. Indemnification
You agree to indemnify, defend, and hold harmless Manti Labs, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law; or (d) your content or actions on the Platform.
12. Privacy
Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, store, and share your personal data. Our Privacy Policy is incorporated into these Terms by reference.
13. Governing Law and Dispute Resolution
13.1 Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. For Users located in the EEA or the UK, nothing in these Terms affects your statutory rights under applicable consumer protection laws.
13.2 Dispute Resolution
Any dispute arising from these Terms shall first be submitted to good-faith negotiation for 30 days. If unresolved, it shall be submitted to binding arbitration administered under the rules of the American Arbitration Association, conducted in English, with the seat of arbitration in Wilmington, Delaware.
13.3 Class Action Waiver
You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class action, collective action, or representative action.
14. Termination
Either party may terminate these Terms at any time by closing their account through the Platform or by providing written notice. We may suspend or terminate your access immediately if we reasonably believe you have violated these Terms.
Upon termination: (a) your right to use the Platform ceases immediately; (b) any pending Tasks will be cancelled and escrowed funds refunded to the Client; (c) any earned but unpaid Inspector payouts will be processed; (d) provisions that by their nature should survive termination will survive (including intellectual property, limitation of liability, indemnification, and dispute resolution).
15. General Provisions
- Entire Agreement: These Terms, together with the Privacy Policy and any service-specific terms, constitute the entire agreement between you and Manti Labs regarding the Platform.
- Severability: If any provision is found to be unenforceable, the remaining provisions will remain in full force and effect.
- No Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
- Assignment: You may not assign your rights or obligations under these Terms without our prior written consent.
- Force Majeure: Manti Labs is not liable for any failure or delay due to circumstances beyond our reasonable control.
- Notices: We may provide notices via email, push notification, or through the Platform. You may contact us at legal@eyeonsite.com.
